ClientNex Partner Agreement Terms

1. Client Representation and Project Management

   ClientNex is a client acquisition and project management company that is retained by its clients to manage all aspects of a project from initial consultation through project completion.

   ClientNex serves as the primary point of contact for the client and is responsible for coordinating project communications, scheduling, oversight, documentation, and customer experience management.

   The Partner acknowledges that ClientNex represents the client throughout the engagement and may communicate project requirements, scheduling requests, and project updates on the client's behalf.

2. Partner Responsibilities

   The Partner shall be solely responsible for:

   • Maintaining all required licenses, certifications, and permits
   • Maintaining all required insurance coverage
   • Performing all contracted services in a professional and workmanlike manner
   • Complying with all federal, state, and local laws and regulations
   • Completing work in accordance with industry standards and project specifications
   • Providing accurate and timely project updates through the ClientNex Partner Portal

   The Partner remains responsible for all workmanship, installations, warranties, and service-related obligations.

3. Project Communication and Reporting

   To ensure consistent project oversight and client satisfaction, the Partner agrees to provide project updates through the ClientNex Partner Portal on a schedule established by ClientNex.

   Updates may include:

   • Project milestones
   • Installation progress
   • Scheduling changes
   • Inspection results
   • Completion reports
   • Customer-related issues requiring attention

   ClientNex shall use this information to coordinate communications with the client and manage the overall project experience.

4. Invoicing Requirements

   All Partner invoices shall be submitted through the ClientNex Partner Portal.

   Invoices must accurately reflect completed work and include any supporting documentation reasonably requested by ClientNex.

   No invoices shall be submitted directly to ClientNex clients unless expressly authorized in writing by ClientNex.

5. Payment of Partner Invoices

   ClientNex shall remit payment to the Partner within ten (10) business days following:

   1. Receipt of the Partner's approved invoice through the ClientNex Partner Portal; and
   2. Verification that the invoiced work has been completed in accordance with project requirements.

   Payments shall be made by ClientNex directly to the Partner using the payment method designated by the Partner.

6. ClientNex Acquisition and Management Fee

   The Partner acknowledges that ClientNex is responsible for client acquisition, project management, customer coordination, and project oversight.

   For projects sourced and managed by ClientNex, the applicable Client Acquisition and Project Management Fee shall be disclosed prior to project acceptance and may be:

   • 10% of the project contract value
   • 15% of the project contract value
   • 20% of the project contract value

   The applicable percentage shall be determined by ClientNex based on project scope, complexity, and management requirements.

7. Customer Confidentiality

   The Partner acknowledges that many ClientNex clients are high-net-worth individuals, executives, business owners, and privacy-conscious consumers.

   The Partner agrees to maintain strict confidentiality regarding:

   • Client identities
   • Project details
   • Customer information
   • Financial information
   • Communications facilitated by ClientNex

   No client information may be disclosed to any third party without written authorization.

8. Non-Circumvention

   The Partner agrees not to bypass, circumvent, or directly solicit business from any ClientNex client introduced through the ClientNex Network for a period of twenty-four (24) months following project completion.

   All future projects involving a ClientNex-introduced client during this period shall remain subject to ClientNex's acquisition and management fee structure.

9. Suspension or Termination

   ClientNex reserves the right to suspend, limit, or terminate a Partner's participation in the network for:

   • Failure to maintain licenses or insurance
   • Failure to provide required project updates
   • Poor customer service or project performance
   • Non-compliance with ClientNex procedures
   • Violation of confidentiality obligations
   • Fraud, misrepresentation, or unethical conduct
   • Failure to comply with payment or invoicing requirements
10. Independent Contractor Status

    The Partner is an independent contractor and is not an employee, agent, partner, or joint venturer of ClientNex.

    Nothing in this Agreement shall be construed as creating an employment relationship between the Parties.
